1. Acceptance of Terms

Welcome to CV Pathway. CV Pathway is operated by NMC Consulting (nmcconsulting.co.uk). By accessing or using our website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Throughout these Terms, references to "we", "us", "our", or "CV Pathway" refer to NMC Consulting as the operator of the CV Pathway service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

CV Pathway provides an AI-powered platform that generates personalized cover letters based on your CV and job descriptions. Our Service includes:

• CV/resume upload and storage
• Job description input and tracking
• AI-generated cover letters using OpenAI's technology
• Cover letter editing and management
• Subscription-based access to different AI models and features

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Payments

4.1 Subscription Tiers

We offer different subscription tiers with varying features and limits:

• Free Tier: Limited cover letters (3), basic AI model (GPT-3.5), 1 CV storage
• Standard Tier: Unlimited cover letters, improved AI model (GPT-4o-mini), unlimited CV storage
• Premium Tier: Unlimited cover letters, best AI model (GPT-4o), unlimited CV storage, priority support

4.2 Billing

Subscription fees are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. You will retain access to paid features until the end of the billing period. We do not provide refunds for partial months or unused portions of your subscription, except as required by law.

4.4 Price Changes

We reserve the right to modify our pricing. We will provide advance notice of any price changes. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you upload to our Service, including CVs, job descriptions, and any other materials ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide license to use, store, and process your content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Cover letters generated by our AI service are created based on your User Content. You own the AI-generated cover letters and may use them as you see fit. However, you acknowledge that:

• AI-generated content may not be unique and similar content could be generated for other users
• You are responsible for reviewing and editing AI-generated content before use
• We make no guarantees about the quality, accuracy, or effectiveness of AI-generated content

5.3 Our Intellectual Property

The Service, including its design, features, software, and all related intellectual property, is owned by CV Pathway and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works based on our Service.

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Upload content that is offensive, discriminatory, or violates others' rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools (bots, scrapers) to access the Service
• Reverse engineer or attempt to extract our source code
• Abuse or exploit our AI service, including attempting to bypass rate limits
• Resell or redistribute our Service without permission
• Upload viruses, malware, or other harmful code
• Impersonate others or misrepresent your affiliation

7. Third-Party Services

Our Service uses third-party services including OpenAI (for AI generation), Supabase (for data storage), and Stripe (for payments). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of these third parties.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 No Employment Guarantees

We do not guarantee that using our Service will result in job offers or employment. The effectiveness of cover letters depends on many factors beyond our control.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.4 Maximum Liability

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless CV Pathway, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CV Pathway regarding the use of the Service and supersede all prior agreements.
